Conditions for Return/Exchange To return/exchange a product from NeedBoxBD, the product must be returned to the concerned person (For example; Delivery Man or Seller) as the same condition as it is delivered to the customer. The product must be unused, unwashed and without any flaws caused by the customer. Fashion products can be tried on to see if they fit and will still be considered unworn. The product must include the original tags, user manual, warranty cards, freebies and accessories which must be kept intact with the product. The sold product must be returned to the original packaging or box of the manufacturer. In order to return electronic products, all personal information (photos / videos / messages) should be removed / reset if are there any external transmissions (password/screen lock etc). If any breach of conditions is violated, then Walcart authority reserves all the right to cancel the refund/exchange service against that specific product. Returns Policy If your product is damaged, defective, incorrect, or incomplete at the time of delivery, kindly please file a return request on the Walcart application or website within 7 days of the delivery date. For particular categories, there are different return policies: Electronic products & accessories, Men’s Fashion, Women’s Fashion, Men’s bags, Women’s bags, Luggage & Suitcase, Bedding, Bath. Exceptions are women's intimate apparel, men's innerwear, swimwear, eyewear, jewellery, watches, duffel bags, shoe-care. There must be a valid reason to return an item such as the size of a fashion product that does not fit, faulty product, physically damaged or broken, defective, incorrect/incomplete (different demonstration on website/missing parts) or products that has passed it’s expiry date (For example: Food items) Walcart might not accept product return if: If the product not returned in a condition as it was delivered. If the product physically damaged or not all of the parts were available. If the product got damaged because of any of the reason which is restricted in the warranty terms & conditions. For device related issues after usage or the expiration of the return window, seller warranty or brand warranty could be given by the seller. To claim seller warranty, please contact the seller. The contact details of the seller can be found on the invoice. To claim brand warranty, please refer to the Brand Contact List given in the Walcart application or website. For more information on warranty claims please view our Warranty Policy. 1. Promotion of Strategic Partner’s Products. (a) Strategic Partner grants to the Company a non- exclusive right to promote Strategic Partner’s Products during the term of this Agreement. (b) The Company shall promote the Products in the manner determined appropriate by the Company, which may include links to Strategic Partner’s web sites, framing over various pages of Strategic Partner’s web sites, or through mutual development of co-branded web pages. All sales of Products will be effected through Strategic Partner’s billing, server and computer systems, unless otherwise provided for in Exhibit 1. At some future point, billing may be done through the Company in an arrangement to be mutually agreed upon by the Company and the Strategic Partner. (c) Strategic Partner agrees to provide all customer service and support for the Products with reasonable responsiveness and turn-around times. (d) Strategic Partner will reasonably cooperate with the Company to effect the items contemplated above. 3. Compensation. (a) Strategic Partner will pay the Company 6% commission on Products sold to Company Customers. (b) Strategic Partner will pay the Company will purchase the product at a cash as 6% commission. (c) Strategic Partner Company only sells fashion such as Women's Fashion, Men's Fashion and Kids Fashion. (d) --------- will be provide all basic material like Picture, product details through email ,partner can arrange special photo-shoot if want. (e) ------------ will be inform any type of promotional camping, offer lunching. Tow party at a time this offer & camping lunching. (f) -------------- Ltd will be provide a weekly basis stock update through email on excel sheet. (g) NeedBoxbd product pick up point House#966, Road#14, Avenue#02,Mirpur-DOHS, Dhaka. (h) Return/Replace policy must be 15 working day, because needboxbd costomer stay of all over Bangladesh (i) Strategic Partner shall provide to the Company a written commission report within 30 days after the close of each month setting forth (1) the names, addresses, phone numbers and email addresses (when provided) of Company Customers; (2) the Products purchased by Company Customers with sales prices, (3) the commission owed to the Company, and (4) such additional information as may be reasonably requested by Company. 4. Strategic Partner Content. (a) Strategic Partner shall provide to the Company articles, advice, tips, or FAQ’s useful for the Company in connection with promoting the Products (the “Strategic Partner Content”) and as set forth in Exhibit 2. The Strategic Partner Content shall be provided in formats and electronic files as reasonably requested by the Company. (b) Strategic Partner shall assist the Company in connection with any revisions to the Strategic Partner Content for posting on the Site. (c) Strategic Partner represents that it has all the rights to the Strategic Partner Content, that it does not infringe or violate any third party’s rights, that it is accurate, complete and up-to-date, and that it does not violate any law or regulation. (d) Strategic Partner grants to the Company during the term of this Agreement a worldwide, non-exclusive, royalty free license to produce, publicly publish and distribute, in both print and electronic form, the Strategic Partner Content. Company may also create derivative works or modifications to the Strategic Partner Content for editorial or stylistic reasons. Strategic Partner grants the Company the right to permit viewers or customers to copy, print and use the Strategic Partner Content for their personal or internal purposes. 5. Confidential Information. (a) Each party acknowledges and agrees that any Confidential Information received from the other party will be the sole and exclusive property of the other party and may not be used or disclosed except as necessary to perform the obligations required under this Agreement. (b) Upon termination of this Agreement, each party shall promptly return all information, documents, manuals and other materials belonging to the other party except as otherwise provided in this Agreement. 6. Promotional Materials/Press Releases. Each party shall submit to the other for approval (which approval shall not be unreasonably withheld or delayed), marketing, advertising, press releases, and other promotional materials related to this Agreement, provided, however, that each party shall be permitted to disclose the existence of this Agreement and the nature of the relationship without the consent of the other. 7. Limitation of Liability. (a) UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM THE PRODUCTS OR ANY OTHER PROVISION OF THIS AGREEMENT, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS, COSTS OF DELAY, OR LIABILITIES TO THIRD PARTIES ARISING FROM ANY SOURCE. (b) The Strategic Partner shall bear (i) all collection risk (including, without limitation, credit card fraud and any other type of credit fraud) with respect to sales of the Products and (ii) all responsibility and liability for the proper payment of all taxes which may be levied or assessed (including, without limitation, sales taxes) which may be levied in respect of sales of the Products. (c) Company has no obligation to attempt to monitor or regulate the quality, suitability or content of the Products and Strategic Partner agrees to hold the Company harmless in the event of any claims by customers with respect to problems with the Products. The Strategic Partner hereby represents and warrants to the Company that the Products will not infringe on or violate the Intellectual Property Rights or other rights of any third party and will not contain any content which violates any applicable law, regulation or third party right.
